Terms of Service
These Terms of Service ("Terms") govern your access to and use of the FORGE platform, website, desktop application, cloud services, and related documentation (collectively, the "Service") provided by Magnitude Labs Inc., a Delaware corporation ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "FORGE" means the visual orchestration platform for AI-powered development, including the desktop application, cloud relay service, and associated tools.
- "User," "you," or "your" means any individual or entity that accesses or uses the Service.
- "Account" means your registered account used to access the Service.
- "Content" means any code, data, text, files, or other materials you create, upload, or process through the Service.
- "Subscription" means a paid plan that grants access to premium features of the Service.
- "Third-Party AI Services" means the external artificial intelligence coding agents, models, and services that FORGE orchestrates on your behalf, including but not limited to Claude Code (Anthropic), Gemini CLI (Google), OpenAI Codex, and any other AI services you configure for use through the Service.
- "Usage Data" means aggregated, anonymized, and de-identified data about how the Service is used, such as feature usage frequency, performance metrics, error rates, and general usage patterns. Usage Data does not include your Content, conversations, prompts, code, project data, or any personally identifiable information.
2. Eligibility
You must be at least 18 years old and capable of entering into a binding legal agreement to use the Service. By using the Service, you represent that you meet these requirements.
3. Account Registration
3.1
To access certain features, you must create an Account using Google OAuth authentication. You agree to provide accurate information and keep your credentials secure.
3.2
You are responsible for all activity under your Account. Notify us immediately at legal@goforgeit.com if you suspect unauthorized access.
3.3
We reserve the right to suspend or terminate Accounts that violate these Terms.
4. The Service
4.1 Nature of the Service
FORGE is a visual orchestration and project management interface. It does not contain, host, or operate any artificial intelligence models of its own. The Service acts as a passthrough layer that orchestrates Third-Party AI Services on your behalf. All AI-generated output originates from Third-Party AI Services, not from FORGE.
4.2 Local Mode
FORGE operates primarily as a local desktop application. In local mode, your code and project data remain on your machine. The Service orchestrates Third-Party AI Services locally on your device.
4.3 Cloud Mode
Optional cloud features (remote access, session sync, cloud relay) require a paid Subscription and route session data through our cloud infrastructure. You control whether to enable cloud features.
4.4 Third-Party AI Service Integration
- FORGE integrates with Third-Party AI Services. Your use of those services is subject to their respective terms of service, acceptable use policies, and privacy policies. You are solely responsible for reviewing, understanding, and complying with the terms of each Third-Party AI Service you use through FORGE.
- FORGE is not a party to your agreement with any Third-Party AI Service provider. In the event of a conflict between these Terms and the terms of a Third-Party AI Service, the more restrictive provision shall apply with respect to your use of that service.
- We do not control and are not responsible for the output, behavior, accuracy, availability, or compliance of Third-Party AI Services. Changes to the terms, pricing, or availability of Third-Party AI Services may affect your ability to use certain features of the Service.
- Certain Third-Party AI Service providers may impose restrictions on how their services may be accessed through third-party tools. You are responsible for ensuring your use of the Service complies with any such restrictions. For example, some providers restrict the use of consumer-tier authentication tokens in third-party applications.
4.5 API Keys
You provide your own API keys for Third-Party AI Services. We do not store, transmit, or have access to your API keys in local mode. In cloud mode, API keys may be transmitted through our encrypted relay infrastructure solely for the purpose of routing your requests to the applicable Third-Party AI Service, and are not retained beyond the active session. You are responsible for securing your keys and any costs incurred through their use.
5. Subscription Plans and Billing
5.1 Service Tiers
The Service is offered in the following tiers:
- Free Tier. The core FORGE application is available for free for local use with limited features.
- Pro Plan. Premium features for individual developers, including enhanced cloud features and priority support.
- Team Plan. Collaborative features for development teams, including shared project management, team analytics, and team administration.
- Enterprise Plan. Advanced features for organizations, including custom security configurations, dedicated support, custom integrations, and additional contractual protections as described in Section 5.8.
Current feature availability for each tier is published at goforgeit.com and may change with 30 days' notice.
5.2 Payment Processing
Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service. We do not directly store your payment card information.
5.3 Billing Cycle
Subscriptions are billed monthly or annually, depending on the plan selected. Charges are non-refundable except as required by law or as described in Section 5.5.
5.4 Auto-Renewal
Subscriptions automatically renew at the end of each billing period. You may cancel at any time through your Account settings. Cancellation takes effect at the end of the current billing period.
5.5 Refunds
If you are unsatisfied with a paid Subscription, you may request a refund within 14 days of your initial purchase. Renewal charges are non-refundable.
5.6 Price Changes
We may change pricing with at least 30 days' advance notice. Price changes take effect at the start of your next billing period following the notice period.
5.7 Taxes
You are responsible for all applicable taxes associated with your Subscription, except for taxes based on our net income.
5.8 Enterprise Agreements
Enterprise Plan customers may negotiate a separate Master Service Agreement ("MSA"), including custom terms for service level agreements, data processing, liability, and support. In the event of a conflict between these Terms and an executed MSA, the MSA shall prevail.
6. Data Handling and Privacy
6.1 No Model Training
We do not use your Content—including your code, project data, conversations, prompts, session data, or any other user-generated material—to train, fine-tune, or improve any machine learning models or artificial intelligence systems. FORGE does not own or operate any AI models.
6.2 Usage Data for Product Improvement
We collect and use Usage Data to improve the Service, including feature usage patterns, performance metrics, error rates, and general product analytics. This data is aggregated and anonymized and cannot be used to reconstruct your Content or identify you personally.
6.3 Privacy Policy
Your use of the Service is subject to our Privacy Policy, available at goforgeit.com/privacy.html. The Privacy Policy describes how we collect, use, and protect your personal information.
6.4 Data Processing Addendum
For Team and Enterprise Plan customers that require a Data Processing Addendum ("DPA") to comply with applicable data protection laws (including GDPR, UK GDPR, and CCPA), a DPA is available upon request at legal@goforgeit.com. The DPA supplements these Terms and governs the processing of personal data on your behalf.
7. Data Security
7.1
We implement reasonable technical and organizational measures to protect your data, including encryption in transit (TLS 1.2+) and at rest, secure session management, and access controls.
7.2
In local mode, your code and project data are stored only on your device. We do not access, collect, or transmit your source code unless you explicitly enable cloud features.
7.3
In cloud mode, session data is transmitted through our relay infrastructure. We use encryption and do not retain terminal session content beyond the active session unless you opt into session logging.
7.4 Data Residency
Cloud infrastructure is hosted in the United States. For Enterprise Plan customers with specific data residency requirements, please contact us at legal@goforgeit.com to discuss available options.
7.5 Subprocessors
We maintain a list of subprocessors (third-party service providers that process data on our behalf), available at goforgeit.com/subprocessors. We will provide at least 30 days' advance notice before engaging a new subprocessor. Enterprise and Team Plan customers may subscribe to subprocessor change notifications.
7.6 Compliance
- We are committed to maintaining industry-standard security practices. Information about our current security certifications, compliance status, and security practices is available at goforgeit.com/security.
- Enterprise Plan customers may request additional compliance documentation, including third-party audit reports, upon execution of a non-disclosure agreement.
- For customers subject to HIPAA, a Business Associate Agreement ("BAA") may be available for Enterprise Plan customers upon request. Contact legal@goforgeit.com for eligibility requirements.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent permitted by applicable law.
- Copy, modify, distribute, sell, or sublicense any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Attempt to gain unauthorized access to the Service, other Accounts, or related systems.
- Use the Service to develop a competing product or service.
- Remove, alter, or obscure any proprietary notices, labels, or branding on the Service.
- Use the Service to store or transmit malicious code, or to conduct any form of cyberattack.
- Resell, redistribute, or provide access to the Service to third parties without our written consent.
- Use the Service in a manner that violates the acceptable use policies or terms of any Third-Party AI Service you access through the Service.
- Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Service or any Third-Party AI Service.
9. Intellectual Property
9.1 Our IP
The Service, including all software, documentation, branding, and design, is owned by Magnitude Labs Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
9.2 Your Content
You retain all rights to the code, data, and other Content you create or process through the Service. We claim no ownership over your Content.
9.3 AI-Generated Output
Any output generated through the Service originates from Third-Party AI Services, not from FORGE. Ownership of AI-generated output is subject to the terms of the applicable Third-Party AI Service. We make no representations regarding your ownership rights in AI-generated output and recommend reviewing the applicable Third-Party AI Service terms.
9.4 Open Source Licenses
Code generated by Third-Party AI Services through the Service may be subject to third-party licenses, including open source licenses. You are solely responsible for identifying and complying with any applicable licenses in AI-generated code before incorporating it into your projects.
9.5 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
10. No Professional Advice
10.1
THE SERVICE IS A SOFTWARE TOOL AND DOES NOT PROVIDE PROFESSIONAL ADVICE OF ANY KIND. The Service, including any output from Third-Party AI Services accessed through it, does not constitute and should not be relied upon as legal, financial, medical, security, architectural, engineering, or any other form of professional advice.
10.2
AI-generated code and suggestions may contain errors, security vulnerabilities, performance issues, or other defects. You are solely responsible for reviewing, testing, validating, and verifying all output before use in any environment, including but not limited to production systems.
10.3
You should consult qualified professionals for advice specific to your situation. The use of AI-generated code in safety-critical systems, healthcare applications, financial systems, or any system where failure could result in harm to persons or property is entirely at your own risk.
10.4
FORGE acts solely as a passthrough orchestration layer. We do not review, validate, filter, or endorse any output generated by Third-Party AI Services.
11. Third-Party Services
The Service integrates with third-party services including but not limited to Google (authentication), Stripe (payments), and various Third-Party AI Services. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, accuracy, or output of third-party services.
12. Disclaimer of Warranties
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY OUTPUT PRODUCED BY THIRD-PARTY AI SERVICES THROUGH THE SERVICE. WE DO NOT WARRANT THAT AI-GENERATED CODE WILL BE FREE OF BUGS, SECURITY VULNERABILITIES, OR INTELLECTUAL PROPERTY INFRINGEMENT.
WE MAKE NO REPRESENTATIONS REGARDING THE AVAILABILITY, PERFORMANCE, OR CONTINUED OPERATION OF ANY THIRD-PARTY AI SERVICE ACCESSIBLE THROUGH THE SERVICE.
13. Limitation of Liability
WITHOUT LIMITING THE FOREGOING, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) THE OUTPUT, BEHAVIOR, OR AVAILABILITY OF THIRD-PARTY AI SERVICES; (B) YOUR USE OF AI-GENERATED CODE IN ANY ENVIRONMENT; (C) SECURITY VULNERABILITIES IN AI-GENERATED CODE; (D) INTELLECTUAL PROPERTY CLAIMS RELATED TO AI-GENERATED OUTPUT; OR (E) YOUR FAILURE TO COMPLY WITH THE TERMS OF ANY THIRD-PARTY AI SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
14.1 By You
You agree to indemnify, defend, and hold harmless Magnitude Labs Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your Content; (e) your violation of the terms of any Third-Party AI Service; or (f) your use of AI-generated output in any application or environment.
14.2 By Us
Subject to the limitations in this Section, Magnitude Labs Inc. will defend you against third-party claims alleging that the Service itself (excluding Third-Party AI Services and AI-generated output) infringes such third party's intellectual property rights, and will indemnify you against any damages finally awarded or settlement amounts approved by us, provided that you: (a) promptly notify us in writing of the claim; (b) grant us sole control of the defense and settlement; and (c) provide reasonable cooperation at our expense. This obligation does not apply to claims arising from: (i) your Content; (ii) modifications you make to the Service; (iii) your combination of the Service with non-FORGE products or services; (iv) output from Third-Party AI Services; or (v) your use of the Service in violation of these Terms.
15. Copyright and DMCA Policy
15.1
We respect the intellectual property rights of others. If you believe that Content accessible through the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA") to our designated agent:
15.2
Your notice must include: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; (e) a statement under penalty of perjury that the information is accurate; and (f) your physical or electronic signature.
16. Termination
16.1 By You
You may stop using the Service and close your Account at any time.
16.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We will make reasonable efforts to notify you in advance of termination without cause.
16.3 Effect of Termination
Upon termination: (a) your license to use the Service ends immediately; (b) you must cease all use of the Service; (c) we will retain your Account data for 30 days following termination, during which you may request an export of your data by contacting legal@goforgeit.com; (d) after the 30-day retention period, we may delete your Account data. Your Content stored locally on your device is unaffected by termination.
16.4 Survival
Sections 6.1 (No Model Training), 9 (Intellectual Property), 10 (No Professional Advice), 12 (Disclaimer of Warranties), 13 (Limitation of Liability), 14 (Indemnification), 17 (Dispute Resolution), and this Section 16.4 shall survive any termination or expiration of these Terms.
17. Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
17.2 Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Delaware. Each party bears its own costs.
17.3 Class Action Waiver
You agree that disputes will be resolved on an individual basis and waive any right to participate in a class action or class-wide arbitration.
17.4 Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations or unauthorized access.
17.5 Enterprise Dispute Resolution
Enterprise Plan customers with an executed MSA may have alternative dispute resolution procedures as specified in their MSA.
18. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) to the extent that such delay or failure is caused by events beyond the party's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, cyberattacks on third-party infrastructure, or failures of Third-Party AI Services.
19. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, any applicable Data Processing Addendum, and any applicable Subscription agreement or MSA, constitute the entire agreement between you and Magnitude Labs Inc. regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- Waiver. Our failure to enforce any provision does not constitute a waiver of that provision.
- Assignment. You may not assign your rights under these Terms. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets.
- Modifications. We may update these Terms at any time. Material changes will be communicated via email or through the Service with at least 30 days' notice. Continued use after the effective date constitutes acceptance. Enterprise Plan customers with an executed MSA will be governed by the amendment provisions in their MSA.
- Notices. All notices under these Terms shall be sent to legal@goforgeit.com for us, and to the email address associated with your Account for you.
- Export Compliance. You agree to comply with all applicable export and re-export control laws and regulations. You shall not use the Service in any country subject to U.S. trade sanctions without appropriate government authorization.
- Government Use. If you are a U.S. government entity or using the Service on behalf of one, the Service is provided as "commercial computer software" and "commercial computer software documentation" as defined in applicable federal acquisition regulations, and your use is governed by these Terms.
